1. Acceptance

These Terms of Service ("Terms") are entered into between you and ESOFTBAY LIMITED, a company registered in England and Wales under company number 17390396, with its registered office at Office 1591 85 Dunstall Hill, Wolverhampton, United Kingdom, WV6 0SR("Aqrio", "we", "us", "our"). By creating an account or using Aqrio, the web app, the WhatsApp agent, or any related services, you agree to these Terms. If you do not agree, do not use the Service.

2. Definitions

The Aqrio web application, dashboard, WhatsApp agent, and any related features we make available.
"Account"
The registered profile through which you access the Service.

Any data, text, documents, images, or messages submitted to or generated within the Service, including property, tenant, lease, and maintenance records.

The person or organisation that registers for and controls an Account.
"Tenant"

3. Who Aqrio is for

Aqrio is a property operations platform for landlords, owners, and authorised property managers, principally serving customers in the United Arab Emirates and Saudi Arabia. Features may include property and tenant records, rent schedules, WhatsApp-based reminders and conversations, maintenance workflows, compliance reminders, lease document assistance, reporting, and subscription billing.

4. Accounts and eligibility

  • You must provide accurate registration information and keep your credentials secure.
  • You are responsible for activity under your account, including actions by anyone you invite or authorise to use it.
  • We may suspend or terminate accounts for misuse, non-payment, fraud, or breach of these Terms. Contact [email protected] with any account concern.

5. Acceptable use

You agree not to, and not to permit any third party to:

  • Use Aqrio for any unlawful purpose, or in a way that infringes another party's rights
  • Reverse engineer, decompile, or attempt to extract the Service's underlying source code
  • Probe, scan, or attempt to breach the Service's security or authentication measures
  • Use any automated process to access, scrape, or copy the Service outside its intended functionality
  • Impersonate any person, or misuse the WhatsApp agent to send unsolicited or abusive messages
  • Interfere with or degrade another user's use of the Service, or attempt to overload it
  • Upload malware, viruses, or content designed to damage or disrupt any system

We may investigate and take appropriate action, including suspension or termination, for any suspected breach of this section.

6. Free trial and subscriptions

  • New accounts receive a free trial (currently 30 days, unless extended by Aqrio), requiring no card to start.
  • Paid plans are billed via Stripe on a monthly or annual basis as shown at checkout.
  • Plan limits apply, including unit capacity and feature access (such as the Aqrio Agent, compliance tools, lease extraction, and vendor dispatch).
  • Upgrades generally take effect after successful payment.
  • Downgrades are scheduled for the end of the current billing period; units above the new plan's limit may be archived once the new limit applies.
  • Cancelling a paid subscription ends paid access according to our billing rules and the corresponding Stripe subscription status.

7. Your content and responsibilities

You retain ownership of the data you upload: property details, tenant information, leases, Ejari, Ejar or other documents, photos, messages, vendor details, and similar records. You represent that you have the right to upload and process that data, including any tenant personal data, and that your use of Aqrio complies with applicable law.

8. Aqrio Agent, AI, and communications

  • Aqrio may send WhatsApp or email notifications, rent reminders, maintenance updates, reports, and escalations, based on your settings and configured contacts.
  • AI features may draft or send messages, extract lease fields, classify maintenance issues, or suggest workflows. AI-generated output can be incomplete or incorrect, and you should review anything that matters before relying on it. We do not use your Content to train third-party foundation models; AI providers process data only as needed to deliver the Service, as described in our Privacy Policy.
  • Aqrio does not provide legal advice. Compliance tools help track deadlines and landlord-confirmed information; they do not replace formal RERA, Ejari, Ejar or other official filings, legal counsel, or dispute resolution processes.
  • You remain responsible for final decisions on rent, notices, vendors, payments, and tenant communications.

9. Payments between landlords and tenants

Unless expressly stated otherwise, Aqrio is not the landlord, an escrow agent, or a bank for rent payments. Lease obligations remain solely between landlord and tenant. Any in-app payment scheduling or authorisation features are subject to the specific method shown at the time and to your own lease terms. Processing fees may apply where displayed.

10. Third-party services

The Service relies on third parties including Stripe, WhatsApp/Meta messaging infrastructure, cloud hosting providers, email providers, and AI providers. The terms and availability of those services may affect Aqrio's availability and functionality.

11. Intellectual property

Aqrio's software, branding, user interface, and documentation remain the property of ESOFTBAY LIMITED. We grant you a limited, non-exclusive, non-transferable licence to use the Service during an active trial or paid subscription, for your own internal business purposes only.

12. Availability and changes

We may update features, plans, prices, or these Terms from time to time. Material changes will be notified by email or in-app notice where reasonably practicable. Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.

13. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION, OR THAT THE COMPLIANCE OR AI FEATURES MEET THE LEGAL REQUIREMENTS APPLICABLE TO YOUR PROPERTIES.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AQRIO'S TOTAL LIABILITY FOR CLAIMS ARISING FROM THE SERVICE IS LIMITED TO THE FEES YOU PAID TO AQRIO IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR LOST-PROFIT DAMAGES, INCLUDING TENANT DISPUTES, MISSED LEGAL DEADLINES, OR THIRD-PARTY MESSAGING FAILURES. NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.

15. Indemnity

You agree to indemnify and hold Aqrio harmless against claims arising from your data, your misuse of the Service, or your breach of these Terms or applicable law.

16. Force majeure

We are not liable for any delay or failure in performance resulting, directly or indirectly, from causes beyond our reasonable control, including internet, hosting, or telecommunications failures; power outages; strikes or labour disputes; government or regulatory action; non-performance by WhatsApp/Meta or another third-party provider we depend on; or events commonly described as acts of God.

17. Notices

We may give you notice under these Terms by email to the address on your account, or by posting a notice within the Service. Notices to us should be sent to [email protected] or to our registered office address above.

18. Entire agreement & severability

These Terms, together with any Order and our Privacy Policy, constitute the entire agreement between you and Aqrio regarding the Service, and supersede any prior agreement on the same subject. If any provision of these Terms is found invalid or unenforceable, that provision will be severed and the remaining provisions will continue in full effect. Our failure to enforce any right or provision is not a waiver of that right.

19. Governing law

These Terms are governed by the laws of England and Wales, without regard to conflict-of-law principles. The courts of England and Wales have exclusive jurisdiction over any dispute arising from these Terms, subject to any mandatory consumer protections that may apply to you under the laws of your own country of residence, which this clause does not override.
